Terms of Service

1. Acceptance of Terms

By accessing or using TrueVerify ("the Service"), operated by Nousphere Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. We may update these Terms from time to time, and your continued use of the Service following any changes constitutes acceptance of the revised Terms.

2. Description of Service

TrueVerify is a verification, rating, and trust-scoring platform for the North American trucking industry. The Service aggregates publicly available data from the Federal Motor Carrier Safety Administration (FMCSA), community-submitted ratings and reviews, payment behavior intelligence, and web intelligence gathered from publicly available internet sources to generate Trust Scores and verification reports.

TrueVerify provides verification data from public federal databases and community-contributed ratings for informational purposes only. Trust Scores, payment behavior data, and web intelligence do not constitute legal, financial, or professional advice. Users should independently verify all information before making business decisions.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years of age to create an account and use the Service.

You agree to notify us immediately at support@true-verify.com if you become aware of any unauthorized use of your account or any other breach of security.

4. Business Verification Requirements

Certain features of the Service, including the ability to submit ratings and reviews, require business verification through the FMCSA. During verification, you must provide a valid Motor Carrier (MC) number or Department of Transportation (DOT) number associated with a legitimate operating entity. We verify this information against federal databases to confirm your identity and business affiliation.

Providing false, misleading, or fraudulent verification information will result in immediate account termination and may be reported to the appropriate authorities.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may use TrueVerify to verify business partners, submit honest ratings based on genuine business interactions, generate verification reports, and monitor companies on your watchlist within the limits of your subscription plan.

6. User-Generated Content

Users may submit ratings, reviews, scam reports, and other content ("User Content") to the Service. You represent and warrant that all User Content you submit is truthful, accurate, and based on genuine business interactions. You retain ownership of your User Content but grant Nousphere Inc. a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, display, and distribute your User Content within and in connection with the Service.

All ratings must come from verified businesses with legitimate business relationships. Fraudulent ratings, review manipulation, or impersonation will result in immediate account termination.

We reserve the right to remove any User Content that violates these Terms, is deemed harmful, or is the subject of a valid dispute, at our sole discretion.

7. Intellectual Property

The Service, including its design, features, Trust Score algorithms, branding, and all associated intellectual property, is owned by Nousphere Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent.

"TrueVerify," "Know Before You Go," and the TrueVerify logo are trademarks of Nousphere Inc. Unauthorized use of these marks is prohibited.

8. Subscription and Billing

TrueVerify offers free and paid subscription plans. Paid subscriptions ("Pro" and "Fleet") are billed on a monthly or annual basis as selected at the time of purchase. All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in these Terms.

Payment processing is handled by Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's terms of service in addition to these Terms. Your payment information is transmitted directly to Stripe and is never stored on our servers.

9. Cancellation and Refunds

You may cancel your paid subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of your billing cycle. No prorated refunds are provided for partial billing periods.

If you believe you have been charged in error, contact us at support@true-verify.com within 30 days of the charge. Refund requests are evaluated on a case-by-case basis.

10. Data Accuracy and Limitations

TrueVerify aggregates data from multiple sources including the Federal Motor Carrier Safety Administration (FMCSA), community-submitted ratings, and automated web crawling. While we strive for accuracy, we do not guarantee that any information displayed on the platform is complete, current, or error-free.

FMCSA data is sourced from federal databases that are updated periodically. There may be delays between changes to a carrier's status and the reflection of those changes on TrueVerify.

Trust Scores are calculated using a proprietary algorithm and are provided for informational purposes only. A Trust Score does not constitute a recommendation, endorsement, or guarantee regarding any company's future performance, reliability, or creditworthiness.

Community ratings and reviews represent the individual experiences of verified platform users. TrueVerify does not independently verify the accuracy of rating content beyond confirming the rater's business identity.

Web Intelligence data is gathered through automated crawling of public internet sources. TrueVerify does not verify the accuracy of third-party content and is not responsible for information published by external sources.

Users are solely responsible for their business decisions. TrueVerify provides data and tools to assist in due diligence but does not replace independent verification, legal counsel, or professional advice.

By using TrueVerify, you acknowledge and agree that Nousphere Inc. shall not be liable for any losses, damages, or claims arising from decisions made based on information provided through the platform.

11. Prohibited Conduct

You agree not to:

  • Submit false, misleading, or fraudulent ratings, reviews, or scam reports
  • Manipulate Trust Scores or ratings through coordinated activity, fake accounts, or automated systems
  • Impersonate another business, individual, or FMCSA-registered entity
  • Create multiple accounts to circumvent usage limits or plan restrictions
  • Use the Service to harass, threaten, defame, or intimidate other users or businesses
  • Attempt to reverse engineer, scrape, or systematically extract data from the Service
  • Interfere with or disrupt the Service, its servers, or connected networks
  • Use the Service for any illegal purpose or in violation of applicable laws or regulations
  • Resell, sublicense, or commercially redistribute data obtained from the Service

12. Dispute Resolution

If you believe a rating or review about your company is inaccurate or unfair, you may file a dispute through the platform. TrueVerify will review disputes in good faith and may request supporting documentation from both parties. We reserve the right to modify, remove, or retain disputed content at our sole discretion. Filing a dispute does not guarantee any particular outcome.

Any legal disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Florida. You agree to waive any right to a jury trial or to participate in a class action.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOUSPHERE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSSES RESULTING FROM BUSINESS DECISIONS MADE USING TRUEVERIFY DATA, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TRUEVERIFY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Nousphere Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, submission of fraudulent content, failure to pay subscription fees, or conduct that we determine is harmful to other users or the integrity of the platform.

Upon termination, your right to use the Service ceases immediately. Ratings and reviews you have submitted may persist on the platform as they contribute to community Trust Scores. Sections 6, 7, 10, 13, 14, and 16 survive termination.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Florida.

17. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account or through a prominent notice within the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Nousphere Inc. regarding your use of the Service and supersede all prior agreements, understandings, and communications.
